AE3 Media EVENTS

TERMS AND CONDITIONS

 

1. Interpretation

 

• “Client” means the person, firm or Company named in the Contract for whom AE3 Media Ltd has agreed to provide services in accordance with the booking form attached to these Terms and Conditions.

• “AE3 Media” means AE3 Media Ltd of 21 Great Winchester Street, London, EC2N 2JA

 

• “Event” means the event described in the booking form.

 

• “Event Fee” means the fee payable by the Client for its participation in the Event.

 

 

2. Services

 

• AE3 Media agrees to provide the services set out in the attached booking form to the Client subject to these Terms and Conditions.

 

• The Client agrees to support the Event and to participate therein to the extent referred to in the booking form.

 

 

3. Event Fee

 

• On receipt of the booking form, AE3 Media will issue an invoice for the Event Fee specified to the Client for the total price and the Client will pay within 30 days or before the date of the Event, whichever is earlier.

 

• All charges quoted by AE3 Media are exclusive of any Value Added Tax (VAT).

 

 

4. Cancellations

 

• Since AE3 Media will enter into commitments and will expend time in marketing the Event on the basis of this contract, if the Client wishes to cancel the contract it shall be liable to pay to AE3 Media the whole of the balance of the Event Fee then outstanding within 30 days of such cancellation or on the date of the Event, whichever is earlier.

 

• AE3 Media shall be entitled to cancel this contract : –

 

• If they for any reason and at their sole discretion decide that they do not wish to have further dealings with the Client in relation to the Event in which case AE3 Media will refund all payments made by the Client up to the date of such cancellation but will be under no further liability or obligation to the Client.

 

• If the Client is in breach of any of the Terms and Conditions or any other provision of the Contract.

 

• If the Client becomes insolvent, enters into Liquidation or Receivership or seeks any arrangement with its Creditors.

 

• If there is insufficient support from AE3 Media’s potential clients for the Event in which case AE3 Media will refund all payments made by the Client up to the date of such cancellation but will be under no further liability or obligation to the Client.

 

• Unless specifically provided in Clause 4.2, AE3 Media shall be under no liability or obligation to the Client upon any cancellation under Clause 4.2.

 

 

 

5. Arrival and Departure

 

• Access to the rooms used for the event or the supply of services cannot be granted before the time specified by AE3 Media.

 

• The Client shall arrange that its personnel and guests shall vacate the event rooms or area by the time specified by AE3 Media and in the event that it does not, the Client shall be responsible for any additional charges incurred.

 

 

6. Liability

 

• AE3 Media shall have no liability to the Client for any loss, damage, costs, expenses or other claims for compensation arising from any instructions or information supplied by the Client which are incomplete, incorrect, inaccurate, illegible, out of sequence or in the wrong form or arising from their late arrival or non arrival or any other fault of the Client.

 

• Except in respect of death or personal injury caused by AE3 Media’s negligence, AE3 Media shall not be liable to the Client by reason of any representation; implied warranty, condition or other term, any duty at common law or under the express terms of the Contract for any loss of profit or any direct or indirect, special or consequential loss, damage, costs, expenses or other claims (whether caused by the negligence of AE3 Media, its servants or agents or otherwise) which arise out of or in connection with the provision of its services under this Contract or the organization of the Event.

 

• The entire liability of AE3 Media under, or in connection with the Contract shall not exceed the amount of the Event Fee hereunder.

 

• AE3 Media shall not be liable to the Client or be deemed to be in breach of the Contract by reason of any delay in performing or any failure to perform any of its obligations in relation to the provision of its services if the delay or failure was due to any cause beyond AE3 Media’s reasonable control.

 

7. Data

AE3 Media is compliant with the General Data Protection Regulation issued on 25^th May 2018.

 

The regulation states that personal data should be:

-processed lawfully, fairly and in a transparent manner in relation to individuals;

-collected for specified, explicit and legitimate purposes and not further processed in a manner that is incompatible with those purposes; further processing for archiving purposes in the public interest, scientific or historical research purposes or statistical purposes shall not be considered to be incompatible with the initial purposes;

-adequate, relevant, and limited to what is necessary in relation to the purposes for which they are processed;

-accurate and, where necessary, kept up to date; every reasonable step must be taken to ensure that personal data that are inaccurate, having regard to the purposes for which they are processed, are erased or rectified without delay;

-kept in a form which permits identification of data subjects for no longer than is necessary for the purposes for which the personal data are processed; personal data may be stored for longer periods insofar as the personal data will be processed solely for archiving purposes in the public interest, scientific or historical research purposes or statistical purposes subject to implementation of the appropriate technical and organisational measures required by GDPR in order to safeguard the rights and freedoms of individuals;

-processed in a manner that ensures appropriate security of the personal data, including protection against unauthorised or unlawful processing and against accidental loss, destruction or damage, using appropriate technical or organisational measures.

 

As part of this agreement, we may be sending you personal data of the delegates, speakers, and other attendees at this event.

For us to send you any data, you must confirm that you have a GDPR compliant policy in place that ensures that the any data sent to you will be processed and stored in a compliant manner. Should we not receive this confirmation, we will not be able to send you any data.

 

As part of this agreement, we may also be receiving data from a third party, sent directly from you. For example, the names of your guests on a table for an awards event. You agree that you have the necessary consent and procedures in place, so that this data is sent to us in a GDPR compliant manner and that it enables us to send them relevant information about the event.

 

 

8. General

 

• These Terms and Conditions, together with the booking form hereto, constitute the entire agreement between the parties, supersede any previous agreement or understanding and may not be varied except in writing between the parties. All other terms, conditions and warranties, express or implied by statute or otherwise, are excluded to the fullest extent permitted by law.

 

• No failure or delay by AE3 Media in exercising any of its rights under the Contract shall be deemed to be a waiver of that right and no waiver by AE3 Media of any breach of the Contract shall be considered as a waiver of any subsequent breach.

 

• If any provision of these Terms and Conditions is held by any Court or other competent authority to be invalid or unenforceable in whole or in part, the validity of the other provisions of these Terms and Conditions and the remainder of the provision in question shall not be affected.

 

• English law shall apply to the Contract and these Terms and Conditions and the parties are to submit to the exclusive jurisdiction of the English Courts.

 

• When the Client requests AE3 Media to arrange for the provision by third parties of any goods and services on the Client’s behalf, AE3 Media shall do so as the Client’s agent and the Client shall be directly liable for all charges and liabilities in respect thereof and fully indemnify AE3 Media against any liability arising.

 

• The Client shall not be entitled to assign the Contract to any third party or utilise any event slot for any persons other than those stated in the Contract without AE3 Media’s prior written agreement.

 

• The Contract is between AE3 Media and the Client and the Client undertakes that it is not entering into the Contract on behalf of any third party.
